TOPIC: Drafting and Negotiating a Private Placement Memorandum
Private securities offerings provide companies with the ability to raise capital by issuing common stock, membership interests, convertible debt or other types of equity, without being subject the burdensome registration requirements under the Securities Act. These offerings, however, are still governed by certain federal and state securities laws. This presentation will discuss the key elements of one of the documents drafted in connection with a private securities offerings, the private placement memorandum, or PPM.
